Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Cine Tracker platform ("Service") operated by Cinetracker LLC ("we," "us," or "Cine Tracker"). By accessing or using the Service, you agree to be bound by these Terms. If you are accessing the Service on behalf of an institution, you represent that you have authority to bind that institution.

1. Description of Service

Cine Tracker is a cloud-based equipment management platform designed for film school programs and academic institutions. The Service enables organizations to track equipment inventory, manage student checkout requests, and coordinate equipment reservations across courses and instructors.

2. Acceptance of Terms

Use of the Service constitutes acceptance of these Terms. Users must be at least 18 years old or accessing the Service under the supervision and authorization of an educational institution. Students accessing the Service through an institutional account are subject to both these Terms and their institution's acceptable use policies.

3. Magic Link Authentication

The Service uses passwordless authentication via email magic links. Each link is single-use and expires within 15 minutes of issuance. We do not store passwords. You are responsible for the security of your email account. If you believe your access has been compromised, contact your organization administrator or reach us at support@cinetracker.app immediately.

4. Permitted Use and User Obligations

The Service is licensed for institutional use. You agree to:

• Use the Service only for lawful equipment management purposes within your institution
• Keep your magic link confidential and not share it with others
• Provide accurate information when creating or updating your account
• Not attempt to reverse engineer, scrape, or access the Service via automated means beyond the calendar (iCal) feed
• Not use the Service to store data unrelated to equipment management

5. Organization Administrator Responsibilities

The organization account holder and any administrators are responsible for:

• Maintaining accurate billing and contact information
• Provisioning and deprovisioning member access appropriately
• Ensuring members comply with these Terms
• Designating Cine Tracker as a school official or service provider under FERPA where applicable
• Responding to data requests or disputes related to their organization's records

6. iCal Feed and Token-Based Access

The Service provides a personal iCal calendar feed accessible via a unique bearer token. This token grants read access to your booking schedule without requiring login. Treat it as a credential. You can revoke and regenerate this token at any time from your profile settings. Cine Tracker is not responsible for unauthorized access resulting from a shared or exposed token.

7. Billing and Payment

Subscriptions are billed to the organization (not individual users) on a monthly or annual cycle via Stripe. Subscription fees are non-refundable for partial periods. Prices and plan tiers may change with 30 days' advance notice to the billing contact on file. Failure to maintain a current payment method may result in service suspension after a 10-day grace period.

Student access is unlimited and does not consume seats. Seats are counted based on administrative staff accounts only, as defined by your plan tier.

8. Per-Tenant Data Isolation

Each organization's data (equipment inventory, member records, and booking history) is stored in a dedicated PostgreSQL database schema. Your data is not co-mingled with other organizations' data at the storage layer. Cine Tracker staff may only access your organization's data under a documented support request with your explicit consent, except as required by law.

9. FERPA Acknowledgment

If your institution is subject to the Family Educational Rights and Privacy Act (FERPA), you acknowledge that:

• Equipment checkout records associated with students may constitute education records under FERPA
• Cine Tracker processes such records solely on behalf of and under the direction of your institution, acting as a school official or service provider
• Your institution retains responsibility for its own FERPA obligations, including designation of Cine Tracker as an authorized service provider
• Individual students may contact your institution directly to exercise their FERPA rights regarding checkout records

10. Prohibited Use

You may not:

• Resell, sublicense, or white-label the Service
• Use automated scripts to access the Service beyond the documented iCal feed
• Attempt to gain unauthorized access to another organization's data or account
• Upload malicious code, viruses, or any content designed to disrupt the Service
• Use the Service in violation of any applicable law or regulation

11. Service Availability and Changes

We strive for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time with reasonable notice. Material changes to pricing or core functionality will be communicated at least 30 days in advance to the organization billing contact. Accounts with no active organization logins for 12 consecutive months may be archived or terminated with prior notice.

12. Termination

Either party may terminate the subscription at any time. Upon termination, your organization's data will be available for export for 30 days, after which it will be permanently deleted. We reserve the right to terminate accounts that violate these Terms without notice.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CINE TRACKER DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF SECURITY VULNERABILITIES.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CINETRACKER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOUR ORGANIZATION IN THE THREE MONTHS PRECEDING THE CLAIM.

15. Governing Law

These Terms are governed by the laws of the United States and the state in which Cinetracker LLC is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
